Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") create a binding legal agreement between you and Teardown ("we", "our", or "us"), and govern your use of Teardown's mobile release platform and services ("Services"), including our SDK, API, dashboard, and force update functionality.

By accessing or using our Services, you accept and agree to be bound by these Terms and acknowledge that you have reviewed our Privacy Policy (https://teardown.dev/privacy). If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms or our Privacy Policy, you must not access or use our Services.

2. Description of Services

Teardown is a mobile release management platform that provides:

  • Force update capabilities for React Native and Expo applications
  • Version distribution tracking and analytics
  • Release coordination tools
  • SDK and API for integration into mobile applications
  • Dashboard for monitoring and managing app deployments

You acknowledge that the Services are provided as tools for your use in building and deploying your own applications ("Your Apps"), and that you remain fully responsible for Your Apps and their compliance with applicable laws and app store policies.

3. Account Registration and Security

3.1 Account Information

When creating an account, you must provide accurate, complete, and current information. You agree to update this information to maintain its accuracy. Failure to do so constitutes a breach of these Terms.

3.2 Account Security

You are responsible for:

  • Safeguarding your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use at security@teardown.dev

3.3 Team Accounts

If you create team accounts, you are responsible for managing access and ensuring all team members comply with these Terms.

4. Acceptable Use Policy

You agree NOT to use the Services to:

4.1 Prohibited Activities

  • Violate any applicable laws or regulations
  • Distribute malware, spyware, or harmful code
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any systems
  • Use the Services for crypto-mining or similar activities
  • Deploy updates that violate app store policies
  • Circumvent any usage limits or restrictions

4.2 Force Update Responsibilities

When using force update features, you agree to:

  • Comply with Apple App Store and Google Play Store policies
  • Respect user consent and privacy requirements
  • Test updates thoroughly before forced deployment
  • Maintain rollback capabilities for critical issues
  • Not use force updates to circumvent app store review processes

5. SDK and API Usage

5.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our SDK and API solely for integration with Your Apps.

5.2 Technical Limits

  • API rate limits: 1000 requests per minute (unless otherwise agreed)
  • Bundle size limits: 50MB per update
  • Concurrent update limits based on your subscription tier

5.3 Developer Obligations

You agree to:

  • Keep SDK versions reasonably up to date
  • Implement proper error handling
  • Follow our integration guidelines and best practices
  • Not reverse engineer or modify the SDK

6. Your Content and Apps

6.1 Ownership

You retain all rights to Your Apps and content. By using our Services, you grant us a limited, worldwide, royalty-free license to:

  • Process and deliver your updates
  • Display app metrics and analytics
  • Use your name/logo as a customer reference (with permission)

6.2 Your Responsibilities

You are solely responsible for:

  • The content and functionality of Your Apps
  • Compliance with app store policies
  • End-user support for Your Apps
  • Data protection and privacy in Your Apps

7. Pricing and Payment

7.1 Subscription Plans

Services are offered under various subscription tiers:

  • Starter: $99/month - Up to 10,000 MAU
  • Growth: $299/month - Up to 50,000 MAU
  • Scale: $599/month - Up to 200,000 MAU
  • Enterprise: Custom pricing

7.2 Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • We may change prices with 30 days' notice
  • Overages are billed in arrears at published rates

7.3 Late Payment

Accounts more than 30 days past due may be suspended. Service will resume upon payment of outstanding amounts.

8. Service Level Agreement (SLA)

8.1 Availability

We target 99.9% uptime for paid plans, excluding scheduled maintenance.

8.2 Support

  • Starter/Growth: Email support, 48-hour response time
  • Scale: Priority email support, 24-hour response time
  • Enterprise: Dedicated support, custom SLA

9. Beta Features

Beta features are provided "AS-IS" for evaluation purposes only. We may discontinue beta features at any time without notice.

10. Intellectual Property

10.1 Our Property

The Services, including all software, algorithms, and documentation, are owned by Teardown and protected by intellectual property laws.

10.2 Feedback

Any feedback or suggestions you provide may be used by us without compensation or attribution.

11. Privacy and Data Protection

11.1 Privacy Policy

Your use of the Services is subject to our Privacy Policy at https://teardown.dev/privacy.

11.2 Data Processing

For customers in the EEA/UK, we will execute a Data Processing Agreement upon request.

11.3 Security

We implement industry-standard security measures but cannot guarantee absolute security.

12. Third-Party Services

12.1 Integrations

The Services integrate with:

  • Expo Application Services (EAS)
  • Apple App Store Connect
  • Google Play Console
  • Various analytics providers

Your use of these integrations is subject to their respective terms.

12.2 Third-Party Terms

You acknowledge that Your Apps must comply with applicable app store terms and policies.

13. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA.

15. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the Services
  • Your Apps or content
  • Your violation of these Terms
  • Your violation of any third-party rights

16. Term and Termination

16.1 Term

These Terms continue until terminated by either party.

16.2 Termination

  • You may terminate by closing your account
  • We may terminate for breach with notice
  • We may immediately terminate for serious violations

16.3 Effect of Termination

Upon termination:

  • Your access to Services ceases immediately
  • We may delete your data after 30 days
  • Sections that should survive (IP, liability, etc.) remain in effect

17. Export Controls

You agree to comply with all applicable export laws and not use the Services in embargoed countries.

18. Changes to Terms

We may modify these Terms with 30 days' notice for material changes. Continued use after changes constitutes acceptance.

19. Dispute Resolution

19.1 Governing Law

These Terms are governed by the laws of New Zealand.

19.2 Arbitration

Disputes will be resolved through binding arbitration in Auckland, New Zealand, except where prohibited.

19.3 Class Action Waiver

You waive any right to participate in class actions.

20. General Provisions

20.1 Entire Agreement

These Terms constitute the entire agreement between us.

20.2 Severability

If any provision is unenforceable, the rest remains in effect.

20.3 No Waiver

Failure to enforce any right is not a waiver.

20.4 Assignment

You may not assign these Terms without our consent.
